Each state has its own statute which regulates the formation and governing of corporations and different types of business entities. Most states require that an agent be registered with the state at the time of incorporation to receive governmental and legal correspondence. The agent must have a physical address within the state of incorporation and be of legal age. In order for your business to maintain good standing status it must maintain a registered agent. An officer, director, employee or even a shareholder may act as the registered agent if they meet the state requirements. The state will make the agent's name and address known to the general public in the event someone should need to contact your company. Delaney Corporate Services, Ltd. offers complete registered agent services through their affiliations with National Registered Agents, Inc.
